Introduction.

Welcome to Agentiqo! These Terms & Conditions ("Terms") govern your use of our services as provided by Agentiqo ("we," "us," or "our"), an AI automation agency based in Vancouver, British Columbia. By engaging our services, you ("Customer," "you," or "your") agree to be bound by these Terms. Please read them carefully.

1. Services

Agentiqo provides AI automation services, including the creation and delivery of custom AI agents ("AI Agents") designed to automate tasks for businesses and individual consumers. The AI Agents are built and deployed within your own n8n.io account, which you are responsible for maintaining.

2. Subscription and Payment

2.1. Subscription Plans: Our services are offered on a subscription basis, payable monthly or quarterly at your election.
2.2. Payment Terms: Full payment is required upfront prior to the commencement of services for each subscription period. Payments are non-refundable except as expressly stated in these Terms.
2.3. Renewal: Subscriptions automatically renew at the end of each term unless terminated by either party in accordance with Section 8.
2.4. Fees: Pricing is as outlined in your subscription agreement or as communicated on Agentiqo.ai. We reserve the right to adjust pricing with 30 days’ written notice.

3. Delivery of AI Agents

3.1. Deployment: AI Agents will be created and deployed directly into your n8n.io account. You are responsible for maintaining an active n8n.io account and ensuring its compatibility with our services.
3.2. Access: Upon deployment, you will have full access to use, edit, and modify the AI Agents within your n8n.io account (and any other services) as needed for your purposes.

4. Support and Maintenance

4.1. Ongoing Support: We provide ongoing support and maintenance for the AI Agents as long as your subscription remains active and fully paid.
4.2. Scope: Support includes troubleshooting and updates to the AI Agents created by Agentiqo, subject to the limitations in Section 6. Support does not extend to third-party services or n8n.io platform issues.

5. Intellectual Property

5.1. Ownership: Agentiqo retains full ownership of the AI Agents, including all underlying code, designs, and technology. You are granted a non-exclusive, non-transferable license to use the AI Agents within your n8n.io account during the term of your subscription.
5.2. Reuse: Agentiqo reserves the right to use, replicate, or adapt the AI Agents (or similar automations) for other customers. However, you may fully customize and edit your instance of the AI Agents for your own purposes.
5.3. Customer Data: You retain ownership of any data or content you provide to us or process through the AI Agents. We will only use such data as necessary to provide our services.

6. Disclaimers and Limitations of Liability

6.1. Third-Party Services: The AI Agents may integrate with third-party services or APIs (e.g., n8n.io). We are not responsible for the performance, availability, or reliability of these third-party services, and their use is subject to their respective terms and conditions.
6.2. Uptime: We do not guarantee 99% uptime or continuous operation of the AI Agents, as this depends on the n8n.io platform and third-party services beyond our control.
6.3. No Warranties: Our services and AI Agents are provided "as is." We do not guarantee specific results or outcomes from their use. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
6.4. Liability Cap: Our total liability for any claim arising from these Terms or our services shall not exceed the amount paid by you for the subscription period in which the claim arose.

7. Customer Responsibilities

7.1. You are responsible for maintaining your n8n.io account, including any associated costs or fees.
7.2. You agree not to use the AI Agents for any illegal, harmful, or unauthorized purposes.
7.3. You will provide accurate information and reasonable cooperation as needed for us to deliver the services.

8. Termination

8.1. By You: You may terminate your subscription anytime prior to the end of your current subscription term. No refunds will be issued for the remainder of the term.
8.2. By Us: We may terminate or suspend your subscription immediately if you breach these Terms, fail to make payment, or for any other lawful reason, with or without notice.
8.3. Effect of Termination: Upon termination, your license to use the AI Agents remains, and we may not disable or remove them from your n8n.io account.

9. Governing Law

These Terms are governed by the laws of British Columbia, Canada. Any disputes shall be resolved exclusively in the courts of Vancouver, British Columbia.
